Terms of Service

These Terms of Service ("Terms") govern your access to and use of Script Analysis, including our mobile app, web app, and website (together, the "Service"), provided by Intelligence Limited ("we," "us," or "our"). By using the Service, you agree to these Terms.

1. Eligibility & Accounts

You must be able to form a binding contract to use the Service, and the Service is not directed to children under 13. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. Acceptable Use

You agree not to:

• Upload content you do not have the rights to submit, or that infringes another party's intellectual property.
• Use the Service to harass, defraud, or mislead other users, including in marketplace listings or messages.
• Attempt to circumvent, disable, or interfere with security-related features of the Service.
• Use automated means to scrape, extract, or reproduce leaderboard rankings, coverage results, or other content at scale without our written permission.
• Misrepresent your identity or affiliation when listing scripts or communicating with other users.

We may suspend or terminate accounts that violate these Terms.

3. Script Ownership & License

You retain ownership of any script, logline, or other content you submit. By submitting content, you grant us a limited license to store, process, and analyze it (including sending it to our AI processing provider, as described in our Privacy Policy) solely to operate and improve the Service for you. We do not claim ownership of your creative work, and we do not license your scripts to third parties outside of your own marketplace listings and the transactions you choose to enter into.

4. Subscriptions & Billing

Script Analysis offers subscription tiers (currently including Lite, Basic, Pro, and Premium) with different feature limits. Pricing is displayed in the app or on our website at the time of purchase and may change; we will provide notice of material price changes as required by law or by the applicable app store.

• Mobile purchases are billed through the Apple App Store or Google Play and are subject to their respective terms, refund policies, and renewal/cancellation processes.
• Web purchases are billed through Stripe. Subscriptions renew automatically unless canceled before the renewal date.
• Except where required by law or the applicable app store's policy, subscription fees are non-refundable.

5. Marketplace & Escrow Disclaimer

The marketplace connects writers who list scripts with producers who wish to acquire or option them. When a transaction occurs, funds are processed through Stripe Connect, and the platform retains a 10% fee from the transaction, with the remainder paid to the writer.

Script Analysis facilitates payment processing between writers and producers but is not a party to, and does not guarantee, negotiate, or enforce, the underlying creative or business agreement between them (such as option terms, rights granted, or credit). Users are responsible for negotiating and, where appropriate, documenting their own agreements, and for complying with applicable law regarding such transactions. We recommend independent legal advice for any significant script sale or option deal.

6. AI-Generated Content Disclaimer

Coverage reports, scores, and other analysis generated by our AI processing are provided for informational purposes only. They reflect an automated assessment and do not constitute professional, legal, or literary agent advice, and do not guarantee any outcome, sale, or level of interest from producers.

7. Intellectual Property

The Service itself — including its software, design, branding, and the "Script Analysis" name — is owned by Intelligence Limited and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

8. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, misused the Service, or created risk or legal exposure for us or other users. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated analysis will be accurate, complete, or lead to any particular result.

10. Limitation of Liability

To the maximum extent permitted by law, Intelligence Limited and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim arising out of these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Governing Law

These Terms are governed by the laws of New Zealand, without regard to conflict-of-laws principles.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice within the app. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
